1. Ownership

All documentation, specifications, templates, schemas, and associated materials contained in this repository (collectively, the "Documentation") are the exclusive proprietary intellectual property of Bull Run Consulting and Starting Block Ventures (collectively, the "Owners").

2. Grant of Rights

No license is granted to use, reproduce, modify, distribute, display, or create derivative works from the Documentation without the prior written consent of both Owners. Any authorized use shall be subject to such terms and conditions as the Owners may prescribe in writing.

3. Restrictions

Without limiting the foregoing, no person or entity shall:

  • (a) Reproduce, distribute, or publicly display the Documentation, in whole or in part, without written authorization from the Owners;
  • (b) Modify, adapt, translate, or create derivative works based on the Documentation without written authorization from the Owners;
  • (c) Reverse engineer, decompile, or disassemble any portion of the Documentation;
  • (d) Use the Documentation for any commercial purpose without a separate commercial license agreement executed by the Owners;
  • (e) Remove, alter, or obscure any proprietary notices, labels, or marks on the Documentation.

4. Confidentiality

The Documentation may contain confidential and proprietary information of the Owners. Recipients of the Documentation shall maintain the confidentiality of such information and shall not disclose it to any third party without the prior written consent of the Owners.

5. No Warranty

THE DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE OWNERS MAKE NO REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR APPLICABILITY OF THE DOCUMENTATION FOR ANY PARTICULAR PURPOSE.

6. Limitation of Liability

IN NO EVENT SHALL THE OWNERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE DOCUMENTATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Regulatory Disclaimer

The Documentation references Philippine regulatory frameworks, including but not limited to BSP Circulars, AMLC guidelines, SEC regulations, DPA requirements, and PhilSys specifications. These references are provided for informational purposes and do not constitute legal advice. Users should consult qualified legal counsel for regulatory compliance determinations.

8. Governing Law

This License shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising under or in connection with this License shall be subject to the exclusive jurisdiction of the courts of Manila, Philippines.

9. Term and Termination

This License is effective until terminated. The Owners may terminate this License at any time upon written notice. Upon termination, all copies of the Documentation in the possession of the licensee shall be returned to or destroyed by the licensee, and the licensee shall certify such destruction in writing to the Owners.
